These Terms & Conditions (“Terms”) govern access to and use of PCe Solutions’ website, products, and services (“Services”). PCe Solutions (“PCe,” “we,” “our,” or “us”) provides services to clients located in Canada and the United States. By using our website or engaging our Services, you (“Client,” “you,” or “your”) agree to be bound by these Terms.
1. Scope of Services
PCe Solutions provides Managed IT Services, Cybersecurity Services, Hardware as a Service (HaaS), IT Procurement, Consulting, and related technology solutions. Specific service details, service levels, pricing, and responsibilities are defined in a separate written agreement, proposal, or statement of work (“Service Agreement”).
2. Website Use
You agree to use the PCe Solutions website only for lawful purposes. You may not:
- Attempt unauthorized access to systems or data
- Interfere with website functionality or security
- Transmit malicious code, spam, or unlawful content
PCe reserves the right to restrict or terminate access for violations.
3. Client Responsibilities
Clients agree to:
- Provide accurate and timely information necessary to deliver Services
- Maintain appropriate internal controls, user access policies, and compliance practices
- Follow PCe’s reasonable technical and security recommendations
PCe is not responsible for service issues caused by inaccurate information, third‑party actions, or failure to follow agreed procedures.
4. Fees, Billing & Payment
Fees and billing terms are defined in the applicable Service Agreement. Unless otherwise stated:
- Invoices are payable according to agreed terms
- Late payments may result in service suspension
- Hardware, licensing, taxes, and third‑party costs may be billed separately
All fees are exclusive of applicable Canadian or U.S. taxes unless expressly stated.
5. Hardware as a Service (HaaS) & Procurement
For HaaS and procurement services:
- Hardware may be leased, financed, or provided under lifecycle agreements
- Ownership, refresh cycles, replacement terms, and return conditions are defined in the Service Agreement
- Clients are responsible for reasonable care, appropriate use, and loss or damage beyond normal wear
Procurement services may involve third‑party vendors, distributors, or manufacturers.
6. Service Availability & Support
PCe provides proactive and responsive support as defined in the Service Agreement. Response times, support hours, and emergency coverage may vary by service tier and region. While PCe strives for high availability, uninterrupted service is not guaranteed.
7. Data Protection & Confidentiality
PCe treats client data as confidential and implements commercially reasonable safeguards. Clients retain ownership of their data. Confidentiality obligations do not apply to information that:
- Is publicly available
- Was independently developed
- Is lawfully required to be disclosed
Data handling may be further governed by a privacy policy or data processing agreement applicable to Canadian and U.S. regulations.
8. Intellectual Property
All PCe branding, documentation, website content, and proprietary materials remain the intellectual property of PCe Solutions unless otherwise agreed in writing. Clients may not reproduce or distribute PCe materials without authorization.
9. Third‑Party Services
PCe may rely on third‑party software, platforms, cloud providers, or vendors. PCe is not responsible for outages, changes, or failures caused by third‑party services beyond our reasonable control.
10. Limitation of Liability
To the maximum extent permitted under applicable Canadian and U.S. law:
- PCe is not liable for indirect, incidental, special, or consequential damages
- Total liability is limited to the fees paid for Services during the applicable period
Nothing in these Terms limits liability for gross negligence or willful misconduct where prohibited by law.
11. Termination
Either party may terminate Services in accordance with the Service Agreement. Upon termination:
- Outstanding fees remain payable
- Access to services may be revoked
- Hardware return, data transition, or offboarding obligations may apply
12. Governing Law & Jurisdiction (Dual‑Region)
Unless otherwise specified in the Service Agreement:
- Services provided to Canadian clients are governed by the laws of the applicable Canadian province
- Services provided to U.S. clients are governed by the laws of the applicable U.S. state
Conflict‑of‑law principles are excluded.
13. Changes to Terms
PCe Solutions may update these Terms periodically. Updated versions will be posted on our website with a revised effective date.
